Purpose Driven Position
We are looking for a detail-oriented and proactive Paralegal/Legal Assistant to join our in-house legal team. In this role, you will provide essential administrative support, ensuring compliance, managing documentation, and assisting with various corporate, contractual, and governance matters. This is an exciting opportunity for a motivated professional to collaborate closely with our dynamic team in a fast-paced environment.
This is a hybrid role that offers the flexibility of remote work while staying connected to our team in Dartmouth, NS. Periodic visits to our headquarters will be required to handle secure mail and maintain important records, ensuring accuracy and confidentiality as part of our streamlined file management system.
What you'll be doing
Enterprise Administration:
- Performing legal administration and otherwise assisting our legal counsels
- As directed by legal counsel, drafting, reviewing, generating, coordinating and managing the timely and accurate execution of legal and corporate documents (e.g. contracts, non-disclosure agreements, employment and services agreements, and administrative forms and letters)
- Assisting with precedent development and maintaining templates.
- Being an active and informed resource in the gathering, coordinating, verification, and compilation of documents and information.
- Ensuring the legal department is provided with ongoing status of progress and flagging items for timely follow-up.
- Scheduling interdepartmental meetings, monitoring emails and legal notices, and managing, coordinating, and ensuring the smooth flow of work of the legal department.
- Stewarding contract lifecycle management tool and other legal software.
- Securing, mailing and digitizing hard copies of documents and organizing, recording, and saving documents, files, and corporate records in accordance with the Company’s file management systems.
- Responding to information requests as needed.
Corporate Governance and ESG Reporting:
- Coordinating, preparing, and administering legal entity corporate filings (including annual filings, change of directors) and registrations (federal and provincial) and other non-financial reporting.
- Preparing board and shareholder meeting agenda; compiling and distributing meeting package.
- Administering all services related to investor reporting and related to ESG disclosures, sustainability programs, reporting, and research, including drafting narrative content for sustainability reports, trends reports, and other communications.
- Developing and maintaining tools and mechanisms to evaluate, track, and report on progress against company ESG goals.
What you'll need to succeed
- Minimum of three (3) years, with a preference for five (5) plus years, experience as a paralegal/legal assistant in the areas of Corporate/Commercial law.
- Post-secondary education in Paralegal studies or equivalent knowledge/experience.
- Knowledge and understanding of the Canada Business Corporations Act.
- Experience in commercial contract review.
- Ability to work independently and take initiative when/where appropriate.
- Demonstrate discretion and sound judgement with a high degree of integrity and trust in handling of highly sensitive confidential information.
- Ability to effectively prioritize, track, and follow-up on outstanding items.
- Capacity to meet deadlines and manage multiple competing priorities.
- Strong analytical skills to effectively think a problem through and offer pragmatic resolutions.
- Exceptional communication and interpersonal skills, both written and verbal.
- Strong attention to detail and a high degree of accuracy, taking pride in quality work product.
- Very high proficiency using Microsoft Office (Word, Excel, and PowerPoint), Google Suite (Gmail and Google Drive, Documents, Sheets and Slides), Adobe Acrobat, and similar document editing and management software.
- Excellent technical skills and an ability to learn and navigate new software, web portals and other technologies.
