Quantum Business Law is a boutique firm which specializes in tax planning and corporate law.
We are looking for a Corporate Law Clerk with a minimum of five years experience as a corporate law clerk in Canada.
The ideal candidate will have the ability to work independently, manage multiple priorities and have excellent organizational, interpersonal and communication skills.
What you will be doing:
· Incorporations, amendments, amalgamations (long and short forms) both provincial and federal
· Tax re-organizations and rollovers, corporate re-organizations, financings, and estate freezes.
· Asset/share purchase and sale transactions and closings
· Drafting share provisions
· Preparation of director and shareholder resolutions
· Due diligence reviews on minute books and preparation of related rectification documents
· Maintaining physical and electronic document system
· Other duties as assigned
Qualifications:
· 5+ years of experience working in Canada as a Corporate Law Clerk/Legal Assistant
· Corporate searching knowledge
· Proficient in Microsoft Office
· Excellent interpersonal, organizational, and communication skills
