Under the direction of the solicitors, the Corporate Legal Assistant is responsible for carrying out the administrative tasks required in the processing of clients' corporate legal matters such as sale/purchase of businesses, re-organizations, amalgamations, incorporations, annual reports and dividend resolutions.
Roles and Responsibilities:
- Preparing resolutions for dividends and redemptions
- Maintaining annual records for hundreds of clients of the firm
- Providing administrative support for lawyers and partners
- Providing company, land title, society and court searches
- Taking all incoming phone calls for the corporate department, taking down details, advising clients on the status of their companies and work, allocating work to lawyers based on their availability and booking appointments
- Maintaining the corporate department inbox and emails to ensure that everything has been appropriately dealt with and marking whether the tasks are pending or complete.
- Incorporating companies, creating minute books, inputting details into ALF Corporate and filing necessary documents and forms with BC Online.
- Preparing necessary documents for share transfers and business transactions including share purchase agreements and asset purchase agreements.
- Opening and closing files.
- Preparing and sending any outgoing corporate records with undertakings, receiving all corporate records and inputting them into our corporate software, preparing and filing Change of Register and Records offices documents, updating books, creating labels and moving them to our vault.
- Meeting with clients to sign documents and answer questions when necessary.
- Filing necessary documents with the Land Title Office for title transfers, sales and purchases
Assets:
- Experienced with office equipment including computers, telephones, printers, copiers and fax machines
- Experienced with Microsoft Office
- Experienced with ESILAW or similar law firm software
- Fast and accurate keyboarding and transcribing
- Excellent grammar, spelling and punctuation
- Experienced with ALF (corporate records management software), BC Online (Government of BC's electronic filing system), myLTSA (Land Title and Survey Authority of BC's electronic filing system)
- Knowledgeable on the rules of corporate law
Salary: $44,000-$55,000
