We are seeking a detail-oriented and motivated Law Clerk to support our Legal team. The ideal candidate will have strong analytical skills, written communication, and passion for the law with the ability to manage mulitple priorities in a fast-paced environment.
Key responsibilities include:
- Manage legal entities and records, including upkeep of corporate databases and organization charts
- Maintain minute books for Canadian entities, including preparing various shareholder and director resolutions and completing corporate filings
- Circulate documents for signature and ensure timely completion
- Organize Committee and Board meetings, including scheduling, planning, and coordinating logistics
- Prepare draft agreements and perform legal research
- Organizing and providing administrative support on all regulatory filings and registrations, including CRTC filings and lobbying registrations
- Liaise with internal functional groups to ensure timely completion of regulatory filings
- Lead review of marketing materials and collateral for compliance with applicable consumer protection laws and regulations
- Assist with identification and implementation of legal tools and systems
- Coordinate management and approval of legal spend
- Update and maintain the document management system
- Coordinate and ensure timely filing of documents
- Address requests and provide support to team members, including coordinating agendas, circulating meeting invitations, arranging IT resources and other required logistics
- Manage administrative tasks such as scheduling, travel management and expense reimbursement
- Strong legal drafting skills and proven ability to manage corporate matters such as entity maintenance, regulatory filings, and transaction closings.
- Strong computer skills, including but not limited to Word, Outlook, and corporate databases.
- Excellent English verbal and written communication skills.
- Strong interpersonal skills with the ability to collaborate effectively and build relationships across all levels of the organization.
- Advanced analytical and problem-solving abilities, with a keen attention to detail.
- Effective at planning, time management, and prioritizing tasks in a fast-paced, deadline-driven environment.
- Professionalism and ability to take accountability for providing timely and accurate responses to inquiries from internal and external stakeholders

- Proven ability to maintain discretion and strict confidentiality.
- Experience of working in a large law firm or organisation within a legal team.
The ideal candidate will possess:
- Completion of law clerk program recognized by the Institute of Law Clerks of Ontario
- Minimum of 10 years’ experience supporting lawyers on corporate/commercial matters, including M&A and financing transactions, ideally in a fast-paced law firm or in-house legal environment.
- A Member in good standing with the Institute of Law Clerks of Ontario
- Experience with extra-provincial record keeping is an asset
