An exciting opportunity awaits
We currently have an opportunity to join our team in the role of General Counsel. The ideal candidate serves as the chief legal advisor to the credit union, providing leadership, strategic guidance, and managing legal risks across all areas of the business. This role is pivotal in safeguarding the credit union’s interests, fostering a culture of integrity, and ensuring compliance with applicable laws and regulations. The General Counsel is responsible for overseeing legal operations, advising on business transactions, managing corporate governance, and ensuring regulatory compliance.
Specific Responsibilities
- Provide legal advice on corporate governance, regulatory compliance, contracts, litigation, commercial real estate and risk management.
- Engage and manage external counsel as needed for specific legal guidance.
- Develop and implement legal strategies, policies, procedures, and best practices to mitigate risks.
- Serve as the credit union’s Privacy Officer, ensuring compliance with privacy regulations and data protection policies.
- Interpret, draft, review, and negotiate contracts to align with strategic business objectives, while governing the corporate contract repository.
- Advise on mergers, acquisitions, business transactions, and strategic initiatives, including conducting due diligence.
- Identify and manage potential conflicts, ensuring legal compliance in all transactions.
- Represent the credit union in negotiations, mediations, and other legal proceedings.
- Provide legal assistance for the negotiation and interpretation of services contracts.
- Collaborate with various departments to provide legal advice and address legal issues and support business operations.
- Stay informed about changes in laws, regulations, and industry trends that may impact the credit union.
- Provide guidance and training to internal stakeholders on legal compliance and regulatory updates.
- Support the development of policies, procedures, standard form lending documents and programs to ensure business efficacy and regulatory compliance.
- Participate in industry committees related to governance or regulatory advocacy.
Qualifications
- Juris Doctor (JD) or Bachelor of Laws (LLB) degree, licensed to practice law in Manitoba and 6+ years of legal experience, preferably with an emphasis in corporate/commercial or financial services.
- Proven expertise in corporate governance, risk management, contracts, and regulatory compliance.
- Strong negotiation and analytical skills.
- Solution-driven legal advisory experience.
- Ability to assess legal risks and provide pragmatic solutions.
- Leadership and communication skills to effectively collaborate across all levels of the credit union.
- High level of integrity, discretion and confidentiality.
- Knowledge of and experience in the credit union/financial services industry and operations would be considered an asset.
