As a Corporate Attorney, you will work to support day-to-day business operations, including drafting and reviewing contracts, serve as a subject matter expert to help resolve legal issues, and be a point of contact for corporate governance/due diligence in a fast-paced environment.
This position will focus on the following:
- Effectively manages contract administration policies, systems, and procedures.
- Ensures contracts are vetted through the required corporate reviews and approvals process.
- Consults on general corporate law.
- Advises stakeholder on risk and compliance matters.
- Drafts, reviews, evaluates, and negotiates business agreements.
- Drafts and revises correspondence and other legal documents.
- Negotiates with clients to develop favorable terms and conditions.
- Assists with the processing and management of change orders, statements of work, and contract amendments.
- Assists with the drafting of policies and procedures for the respective Company and its affiliates.
- Assists in addressing legal, regulatory, and compliance issues.
- Assists with compliance monitoring for the Legal Department or other business units, as requested.
- Assists with performing legal research and drafting memoranda, as needed.
- Assists with reporting department metrics.
- Completes additional related assignments, as requested.
- You will be diligent, communicative, and collaborative.
- You will own your assigned tasks while exercising good judgement that is in the best interest of the Company.
- You will be open minded to new processes and adaptable to change.
- Juris Doctor (JD) from an ABA accredited law school is required.
- Must be a member of a State Bar.
- A minimum of 3-5 years of experience with corporate law is required.
- Must have in-depth knowledge of federal and state laws pertaining to professional services, licensing agreements, NDAs, general corporate law and other business agreements/documents with clients, vendors, and third parties.
- Business or technology background is a plus.
- Proficiency in using Microsoft Office, including Word, Excel, and PowerPoint is required.
- Experience with Microsoft SharePoint and LinkSquares or another contract management system is a plus.
- Must have the ability to exercise good judgment in a variety of situations.
- Strong verbal and written communication skills are required.
- Must have demonstrated professionalism, including while working under pressure.
- Must have the ability to handle multiple projects under tight deadlines, while maintaining a realistic balance among priorities.
- Must demonstrate a high degree of attention to quality, details, and correctness.
- Must have the ability to read, write, speak, understand, and communicate in English sufficiently to perform the duties of this position.
Schedule: Normal hours are Monday through Friday, 40 hours per week.
Travel: Minimal to no travel involved.
